Position Title: Assistant Manager (Shareholdersโ Services)
Dept/Location: Corporate Affairs/Head Office, Islamabad.
Qualification & Experience:
Masters degree in Business Administration, Accounting, Finance, Commerce, Corporate Law or other relevant subject(s) or ACCA or CA Inter with a Bachelorโs Degree.
Minimum 12-15 Yearsโ professional experience, preferably in the Shares Department of a listed corporate entity or a corporate regulatory body.
Duties and Responsibilities:
While reporting to the Manager Corporate Affairs, the executive will supervise the Shares Section and will be responsible for:
- Compliance with the applicable corporate laws, rules and regulations.
- In coordination with the Companyโs Share Registrar, provision of prompt services to the shareholders of the Company including:
- Payment of cash dividends (interim, final) and issuance of bonus shares.
- Deduction and deposit of zakat and income tax (on dividends).
- Maintenance of Members Register.
- Issuance/re-issuance of shares certificates (new, duplicate).
- Transfer of shares (physical, CDC).
- Pattern of Shareholding, CDC Balance Verification.
- Resolution of shareholdersโ complaints and queries.
- Filing of statutory returns & documents to PSX, SECP, and the Registrar of Companies.
- Holding of shareholders meetings (AGMs, EOGMs), election of directors and ancillary matters.
- Further issue of capital through right shares and public offerings.
- Listing/registration of the Company in other jurisdictions.
- Internal and external audits, including audit of BESOS Account.
- Printing, distribution, and filing of Annual/Half Yearly/Quarterly Financial Statements of the Company.
- Maintenance and updating of statutory Registers.
- Market research, trend analysis and generation of reports on the performance of the Companyโs share price vis-a-vis the stock market.
- Specialized Skills and Knowledge:
- Excellent interpersonal, communication and presentation skills.
- Strong knowledge of the Companies Act 2017, the Securities Act 2015, Listing Regulations of PSX, CDC Regulations and other relevant laws.
- Excellent IT Skills, particularly MS Office Suite, PUCARS, SECP Online Filing System.
- Excellent drafting and report writing skills.

Minimum 7-10 yearsโ professional experience, preferably in the Corporate Affairs Department of a listed corporate entity or a corporate regulatory body.
Duties and Responsibilities:
The executive will be required to:
- Support the team in achieving and maintaining full compliance with the applicable corporate laws, rules and regulations.
- Perform the assigned tasks in execution of corporate meetings including coordination with internal departments and the directors, preparation and circulation of working papers and presentations, drafting and circulation of minutes of the meetings and follow-up on the Boardโs decisions.
- Prepare and file different statutory returns, forms, documents and disclosures.
- Manage and safe-keep corporate record and statutory registers.
- Ensure the Companyโs website is maintained and updated frequently in line with SECP SROs and for this purpose coordinate with IT and other relevant Departments.
- Draft different governance documents, policies, and procedures in line with the changing regulatory and/or business requirements.
- Keep track of the Best Corporate Reports Awards criteria of ICAP-ICMAP to ensure that the Companyโs annual reports meet the criteria, contribute departmental write-ups and assist in timely printing and circulation of the Companyโs annual reports.
- Maintain liaison with internal departments and external entities for collection and sharing of data and information.
- Specialized Skills & Knowledge:
- Strong knowledge of the Companies Act 2017, the Securities Act 2015, the Listed Companies (Code of Corporate Governance) Regulations 2019, the Listing Regulations of the PSX and the Memorandum and Articles of Association of the Company.
- Knowledge of the working of the Securities and Exchange Commission of Pakistan and the Pakistan Stock Exchange.
- Excellent interpersonal, communication and presentation skills.
- Excellent research, data collection, drafting, report writing and IT Skills.
